What these terms cover
These terms govern the contracting of UXN Studios services: web design and development, online stores, maintenance and AI process automation. They apply whether you are contracting as a business or professional or as a private individual.
Each project is set out in a written proposal. Where the proposal deals with any matter differently from these terms, the proposal prevails, except as regards the rights that the law grants to consumers, which cannot be restricted.
How a contract is formed
First we talk to you to understand what you need. We then send you a written proposal setting out the scope, price, payment terms, revision rounds and timeline.
The contract is formed when you accept the proposal in writing (an email is enough) and make the first agreed payment. Work starts once we receive that payment. If you are contracting as a private individual, we will only start before your withdrawal period has ended if you expressly ask us to do so in writing.
Prices and payments
The price is the one stated in the proposal, which also states the applicable taxes.
Projects
Paid in milestones as set out in the proposal; for example, 50% at the start and 50% on delivery.
Maintenance and monthly plans
Charged monthly in advance.
Payment method
For each payment we send you a secure Stripe payment link. You can pay by card or by the other methods offered by the link. Your card details are processed by Stripe and never reach us.
Late payments
If a payment is late, we may pause the work until we receive it, and the timeline will be adjusted accordingly.
Revisions and changes of scope
Each project includes the revision rounds stated in its proposal. A round groups together all your feedback on what has been delivered.
Anything that extends the scope — a new section, another integration, another language — is quoted separately and only carried out once you have approved it in writing.
Timelines and what we need from you
The timeline is set in the proposal and starts to run once we receive the necessary content and access: texts, images, catalogue and accounts. If these are delayed or change, the dates will be adjusted.
Cancelling a project
You can cancel the project at any time by emailing us at info@uxnstudios.com.
If you cancel, we will charge you only for the work done up to the date of your notice and refund the rest of what you have paid within a maximum of 14 days, using the same payment method. If the work done exceeds what you have paid, the difference will be invoiced.
Right of withdrawal (private individuals)
If you are contracting as a consumer, you may withdraw from the contract within 14 calendar days of its conclusion, without having to give any reason.
To do so, send a clear statement to info@uxnstudios.com, for example: “I hereby give notice that I withdraw from the contract for the service [description] concluded on [date]. [Name and address]”. We will refund what you have paid within a maximum of 14 days from receipt of your notice, using the same payment method.
If you expressly ask us to start before those 14 days have ended and you then withdraw, you will pay the proportionate part of the service provided up to your notice. If the service is fully performed within that period, you only lose the right of withdrawal if you previously asked us expressly to start and acknowledged that, once the service had been fully performed, you would lose that right. We will confirm that request to you by email.
Maintenance (care plans)
The hours included each month are hours of actual work and do not roll over from one month to the next. If you need more hours in a given month, we will confirm them with you before carrying them out.
There is no minimum term: you can cancel by giving notice by email before the end of the month, and we will stop charging you from the following month. The current month, which has already been paid, remains active until it ends.
Ownership of the website and the work
Once you have paid for the project in full, the website, the code developed for you and the content we have created for your project become yours, and we place the domain and the project accounts in your name. Until then, we retain them.
Third-party licences (platforms, themes, fonts, apps or AI services) are governed by their own terms. The generic tools and components we use across projects remain ours, but you may use them without restriction within your website.
We will only show your project as an example of our work if you give us permission to do so.
Third-party services
Some projects require third-party services: Shopify, hosting, a domain, automation platforms, WhatsApp Business or AI models. Their costs and terms are set out in the proposal. We are not liable for any changes, outages or price increases decided by those providers.
Warranty and liability
If, after delivery, you find a defect in what we have developed, we will fix it free of charge. This does not cover changes made by third parties, updates to external platforms or new features.
If you are contracting as a business or professional, our liability is limited to the amount you have paid for the service concerned, except in cases of wilful misconduct or gross negligence. If you are contracting as a consumer, you retain all the guarantees that the law grants you.
Personal data
We process your data in accordance with our privacy policy. If your project requires us to process your customers' data (for example, in an automation), we will sign a data processing agreement with you.
Governing law and changes
These terms are governed by the law of Malta. If you are contracting as a consumer, you retain the protection afforded to you by the law of your country of residence and may bring proceedings before the courts of your domicile. If you prefer, you may first write to us at info@uxnstudios.com and we will try to resolve the matter directly.
We may update these terms. Each contract is governed by the version in force when you accepted the proposal.
